Terms of service

These Terms of Service (“Terms”) govern your access to and use of the services provided by PlayerUp Inc. (“PlayerUp,” “we,” “us,” or “our”), including our websites, mobile applications, and related products and services (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Eligibility and accounts

1. Age Requirement. You must be at least 13 years of age to use the Services. If you are under 13, you may only use the Services with the verifiable consent of a parent or legal guardian.
2. ‍Parental Responsibility. Parents or guardians of users under 18 are responsible for the minor’s use of the Services.‍
3. Account Information. You agree to provide accurate, current, and complete information when creating an account and to maintain the security of your login credentials. You are solely responsible for all activity under your account.‍
4. Termination. PlayerUp may suspend or terminate accounts that violate these Terms or contain false, misleading, or incomplete information.

User content and intellectual property

1. ‍Ownership. You retain ownership of all content, data, and information you submit or upload to the Services, including but not limited to feedback, performance statistics, rosters, images, and communications (“User Content”).‍
2. License to PlayerUp. By submitting User Content, you grant PlayerUp a worldwide, royalty-free, non-exclusive license to host, use, reproduce, display, distribute, and otherwise process your User Content for the purpose of operating, improving, and promoting the Services.‍
3. Responsibility for Content. You represent and warrant that you have the necessary rights to submit User Content and that your submission does not violate the rights of any third party.‍
4. Restrictions. You may not upload or transmit any content that is unlawful, defamatory, infringing, obscene, abusive, or otherwise objectionable.

Use of the services

1. ‍Permitted Use. The Services are provided solely for lawful purposes related to sports team management, communication, and player development.‍
2. Prohibited Conduct. You agree not to:
   
   1. Use the Services for unlawful, harmful, or fraudulent purposes;
   2. Attempt to disrupt, interfere with, or gain unauthorized access to the Services;
   3. Resell, redistribute, or exploit the Services outside the scope permitted by PlayerUp; or
   4. Infringe the intellectual property or privacy rights of others.
      
      

Communications and messaging

Features & Functionality of the Services. The Services enable communications between coaches, players, and teams, including direct feedback, teamwide announcements, and event- or game-related messages. PlayerUp provides tools that enable coaches, players, and teams to share feedback, track progress, manage rosters, and communicate about events. In order to deliver these features, the Services may collect, process, and display information related to players, coaches, and teams, including account details, performance metrics, training or game participation, and communications. Your use of the Services constitutes your consent to such collection and processing, as further described in our Privacy Policy.

Consent. By using the Services, you consent to receive communications from PlayerUp, including push notifications, emails, and text messages. Standard carrier charges may apply.

Responsibility. Coaches, administrators, and other account holders are responsible for ensuring that communications sent through the Services are appropriate and comply with applicable laws.

Subscriptions, fees, and payments

1. ‍Subscription Services. Certain features of the Services require payment of subscription fees.‍
2. Automatic Renewal. Paid subscriptions will automatically renew at the end of the applicable subscription period unless canceled prior to renewal.‍
3. Cancellations. You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing cycle.‍
4. Refunds. Except where required by applicable law, all fees are non-refundable.

Privacy and youth data

1. ‍Privacy Policy. Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference.‍
2. Youth Data. PlayerUp complies with the Children’s Online Privacy Protection Act (COPPA) and similar laws. Accounts for users under 13 require verifiable parental consent.‍
3. Safeguards. PlayerUp implements safeguards to protect youth data, including player statistics, rosters, and communications, and only processes such data in accordance with the Privacy Policy.

Termination

1. ‍By You. You may stop using the Services at any time and may request deletion of your account.‍
2. By PlayerUp. We may suspend or terminate your access to the Services at our sole discretion if you violate these Terms, misuse the Services, or engage in unlawful activity.‍
3. Survival. Sections of these Terms that by their nature should survive termination (including intellectual property, liability, and dispute resolution provisions) shall remain in effect.

Disclaimers and limitation of liability

1. ‍No Warranty. The Services are provided on an “as is” and “as available” basis, without any warranties of any kind, express or implied.‍
2. Limitation of Liability. To the maximum extent permitted by law, PlayerUp and its affiliates shall not be liable for any indirect, incidental, consequential, or special damages, including lost profits or data, arising out of or relating to your use of the Services.‍
3. Indemnification. You agree to indemnify, defend, and hold harmless PlayerUp, its officers, directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising from your use of the Services or violation of these Terms.

Dispute resolution

1. ‍Arbitration. Except where prohibited by law, any disputes arising under these Terms shall be resolved through binding arbitration conducted in Alameda County, California.‍
2. Class Action Waiver. You agree that disputes may only be resolved on an individual basis and that you waive any right to participate in class actions or collective proceedings.‍
3. Exceptions. Either party may bring claims in court for injunctive or equitable relief related to intellectual property rights.

Changes to the Terms

1. ‍Modifications. PlayerUp may update or modify these Terms from time to time.‍
2. Notice. We will provide notice of material changes, and your continued use of the Services after such changes take effect constitutes your acceptance of the revised Terms.
